According to the laws governed by the state, all companies must have a Registered Agent. Individuals of a Limited Liability Company are free to have a separate operating agreement. The filing procedures consist of submitting executed copies of the Articles of Organization to the Secretary of State, with a $50 filing fee. Checks should be made out to the Arkansas Secretary of State.
LLC Formation Foreign
All companies are required to use the phrases “Limited Liability” or “Limited Company” or “LLC,” “LC,” “L.L.C.,” or “L.C.” Individuals may reserve a company name for a 120-day period. The filing fee is currently $25.
Individuals are required to submit a Certificate of Good Standing, an official Limited Liability Company Franchise Tax Information Form and a copy of the Application for Certificate of Registration of Limited Liability Company. These forms should be submitted to the Secretary of State.
There is a $300 fee for the Application for Certificate of Authority. A check must be submitted to Arkansas Secretary of State.
Corporation Formation Domestic
Domestic Corporations are corporations that are started in the State of Arkansas. The name you select for your corporation in Arkansas must contain one of the following words: "corporation," "incorporated," "limited," "corp.," "inc.," or "ltd." You may reserve your company name for a 120-day period. There is a $25 filing fee. All companies are required to have a Registered Agent.
Corporation Formation Foreign
In Arkansas, a foreign corporation is when an existing business in another state, wishes to expand to the state of Arkansas to do business. It is required to maintain a Registered Agent to receive service of process, even if you are a foreign corporation. The name you select for your corporation in Arkansas must contain one of the following words: "corporation," "incorporated," "limited," "corp.," "inc.," or "ltd."
Business owners may reserve a business name with the Secretary of State for 120 days (non-renewable). A filing fee of $25 is required.
