Corporations in Connecticut
As an individual and divergent legal entity, a corporation is granted the authority to open a bank account, own property, and operate its business under its own name. Managed by a board of directors that are responsible for making business decisions and overseeing the general affairs of the corporation, a corporation is entitled to obtain assets, sue or be sued, and enter into contracts among other daily tasks of a business. Corporations issue shares of the company, commonly referred to as stocks, to individuals that supply the company capital needed to conduct business. The cardinal advantage of operating business as a corporation is such that these stockholders or shareholders, more simply known as the owners, do not bear any personal liability to the corporation's debts and liabilities. For instance, if a corporation is being sued and as a result is then forced into bankruptcy, the owners do not bear any responsibility to liquidate their personal assets in order to cover the debt owed. If the assets of the corporation do not entirely cover the debts owed, the creditors bear no legal right to withdraw from the assets of any of the stockholders, directors, or officers of the corporation to recover any deficit. This protection continues as long as the corporation adheres to its by-laws and its corporate governance process.
