By law, it is illegal for a newly formed Limited Liability Corporation to use names that are the same or similar to any corporations that already exist in Hawaii. It is required that the name include the words "Limited Liability Company", "L.L.C." or "LLC" in its title. There is a $25 reservation for holding the name for a period of up to 120 days. In the State of Hawaii, it is necessary to file an originally executed and one true copy of the Articles of Organization with the Department of Commerce and Consumer Affairs when forming a new limited liability corporation. The filing fee is $100 with an additional $50 fee if it needs to be expedited.
Formation of a Foreign Limited Liability Company in Hawaii
If your business is incorporated in another state but you would like to conduct business in Hawaii it is imperative to assign a registered agent and registered office in the state. Hawaii employs the same name requirement and reservation process as that of a domestic LLC. A company is required to file one signed and one true copy of the Application for Certificate of Certificate of Authority in addition to a Certificate of Limited Liability Company Existence issued by the jurisdiction where the company is formed. Formation of a Domestic Corporation in Hawaii
Every corporation in the State of Hawaii is obligated by law to name a registered agent and registered office in the State to correspond to its business. The business name needs to include any of the following words: "corporation", "incorporated", "limited", "company" or any abbreviation of these words. There is a $20 fee assessed (an additional $50 if special handling is needed) to hold the name for a 120 day period. One signed copy and one conformed copy of Articles of Incorporation needs to be filed with the Department of Commerce and Consumer Affairs. Additionally, there is a $100 filing fee per transaction with an additional $50 fee if special handling is required.
Formation of a Foreign Corporation in Hawaii
The process of forming a foreign corporation in Hawaii is no different than that of a domestic corporation. The same name reservation requirement holds, however, it is not required that the corporate name contain any specific word or abbreviation. An executed original and one true copy of the Application for Certificate of Authority in addition to the Certificate of Good Standing/Existence from the State where the entity was formed needs to be filed with the State.
