The State of Maryland requires that all companies doing business within its borders designate a registered agent in Maryland who can receive service of process on the company’s behalf. That registered agent, as known as a “resident agent” must maintain a physical address in Maryland where the agent can be reached during normal business hours.

Limited Liability Companies in Maryland

Every LLC operating in the State of Maryland falls under one of two designations – domestic or foreign. A domestic LLC is one that filed its Articles of Organization with the Maryland Secretary of State. A foreign LLC is one that filed its Articles in another U.S. state. Below are filing instructions for both types of LLCs.

Domestic LLCs

When forming an LLC in Maryland, your business name must include the term, “Limited Liability Company,” or an abbreviation: “L.L.C.”, “LLC”; “L.C.”; or “LC.” Your name cannot be the same as or misleadingly similar to that of any existing business entity operating in the state. When you have generated your Articles of Organization, send the Maryland Department of Assessment and Taxation an original version, along with an executed consent from the entity that will serve as your resident agent in Maryland. The Department will issue acknowledgement of the filing. A $100 fee is required by the State Department of Assessment and Taxation.

Foreign LLCs

Foreign LLCs are subject to the same name requirements as domestic LLCs (see previous entry). When you have completed your Registration form for a non-Maryland Limited Liability Company, send two copies to the Maryland Department of Assessment and Taxation, along with an executed consent from the entity that will serve as your Maryland resident agent. A $100 fee is required by the State Department of Assessment and Taxation. A $200 penalty will apply if your LLC has done business in Maryland prior to registration.

Corporations in Maryland

Every corporation operating in the State of Maryland falls under one of two designations – domestic or foreign. A domestic corporation is one that is incorporated in the State of Maryland. A foreign corporation is one that is incorporated in another U.S. state. Below are filing instructions for both types of corporations.

Domestic Corporations

When forming a corporation in Maryland, your business name must include the words, “Corporation," "Incorporated," "Limited," or an abbreviation: “Corp.,” “Inc.,” or “Ltd.,” or "Company," or “Co.” When you have generated your Articles of Incorporation, send a copy to the State Department of Assessment and Taxation, along with an executed consent from the entity that will serve as your resident agent (registered agent) in Maryland. The Department will file the Articles and send them to the Clerk of the Court for recording. You will then receive a copy of the recorded Articles. A $100 fee is required by the State Department of Assessment and Taxation, along with an organization and capitalization fee (see state fee structures for the amount owed by your corporation).

Foreign Corporations

Foreign corporation names must include the words, “Corporation," "Incorporated," "Limited," or "Company.” If your name is already taken, you may submit a form, “Registering or Qualifying to do Business in Maryland under an Assumed Name.” When you have completed your Foreign Corporation Qualification form, send a copy to the State Department of Assessment and Taxation, along with an executed consent from the entity that will serve as your resident agent (registered agent) in Maryland. A $100 fee is required by the State Department of Assessment and Taxation. A $200 penalty will apply if your company has done business in Maryland prior to registration.
