LLC

A LLC is a Limited Liability Company and offers its “members,” limited liability. Their assets are separate from those of the company, so they cannot be found personally liable for the debts of the company. To set up an LLC, Articles of Organization must be filed according to Minnesota state guidelines, and all fees must be paid to the Secretary of State.

The guidelines for filing in the state of Minnesota are as follows:

  1. A name for a limited liability must end with the words "Limited Liability Company," or "L.L.C.” To ensure that the desired name is not already in use, you may reserve it for a 12 month period, for a fee of $25.
  2. A limited liability company can be formed with one or more members.
  3. An executed copy of the Articles of Organization is to be submitted to the Secretary of State, along with a filing fee of $135.

If you are filing for a foreign LLC(an LLC that was not originally formed in Minnesota), the following steps must be taken:

  1. Submit to the Secretary of State a copy of the “Application for Certificate of Authority” for a Non-Minnesota Limited Liability Company. They will then issue you a Certificate of Authority. Filing fee totals $185.

Corporation

A corporation is a legal entity having an existence independent of its members and liabilities separate from those of its members. A company is incorporated in a specified state, subject to its filing requirements.

Filing requirements for a Domestic Corporation in Minnesota:

  1. A corporate name must contain “corporation,” “incorporated,” “limited,” or any of its abbreviated counterparts. A name may be reserved for a fee of $35, for up to one year.
  2. Minnesota requires a minimum of one incorporator, of at least 18 years of age.
  3. An executed original of the Articles of Incorporation and a filing fee of $135 must be submitted to the Secretary of State, who will issue a Certificate of Incorporation.

If filing for a foreign corporation (a corporation not originally formed in Minnesota), submit:

  1. A copy of the “Application for Certificate of Authority” with a filing fee of $225.
