Below are key steps required for forming a new company or registering your company for business in New Jersey. A domestic company is one that is organized or incorporated in the State of New Jersey. A foreign company is one that was organized or incorporated outside of New Jersey, but is registering to operate within New Jersey state borders.
Forming a Limited Liability Company:
- Submit a $50 fee to reserve a business name for 120 days. The name must contain the words “limited liability company,” or the abbreviation, “L.L.C.,” and must be distinct from the name of any other existing business entity operating in the State of New Jersey.
- Designate a registered agent and a registered office where service of process will be delivered.
- Submit to the New Jersey Department of Treasury an executed original and a copy of the Public Records Filing for a New Entity. The Department will return one certified copy as proof of filing.
- Submit a $100 fee for filing the Public Records, along with a $25 fee for certification. Checks should be made payable to the New Jersey State Treasurer.
Registering a Foreign Limited Liability Company:
- Submit a $50 fee to reserve a business name for 120 days. The name must meet the same requirements of a domestic LLC (see above).
- Designate a registered agent and a registered office where service of process will be delivered.
- Submit a certificate of good standing executed by the official who has custody of your company records in your home jurisdiction. Also submit an executed original and a copy of the Public Records Filing for a New Entity.
- Submit a $100 fee for filing the Public Records, made payable to the New Jersey State Treasurer.
Forming a Corporation:
- Submit a $50 fee to reserve a corporation name for 120 days. The name must contain the words, “corporation,” “company,” “incorporated,” or an abbreviation of one of these words.
- Designate a registered agent and a registered office where service of process will be delivered.
- Submit to the New Jersey Secretary of State two executed copies of the Public Records Filing for a New Entity. The Secretary will file and record the Certificate.
- Submit a $125 fee to file the Public Records, along with a $25 fee for a certified copy of the Public Records. Checks should be made payable to the New Jersey State Treasurer.
Registering a Foreign Corporation:
- Submit a $50 fee to reserve a corporation name for 120 days. If your name is already taken in the State of New Jersey, your business may still qualify under an “assumed name,” by filing a resolution from your corporate board that adopts the assumed name for use in New Jersey.
- Designate a registered agent and a registered office where service of process will be delivered.
- Submit to the New Jersey Department of Treasury a certificate of good standing executed by the official who has custody of your corporate records in your home jurisdiction. Also submit an executed original and a conformed copy of the Public Records Filing for a New Entity.
- Submit a $125 fee for filing the Public Records, made payable to the New Jersey State Treasurer.
