CORPORATIONS
A corporation is a business entity in which the owners, or shareholders, are protected from the debts and liabilities of the corporation. Corporations consist of a board of directors who are empowered to make key business decisions on behalf of the shareholders and are responsible for managing the general affairs of the corporation. Below are steps for creating a domestic corporation or registering a foreign corporation for business in New Mexico.
Domestic Corporations
- The filing fee for reserving a name for your corporation is $25. The name must contain the words, "corporation," "company," "incorporated," "limited," or an abbreviation of these terms.
- Designate a registered agent and a registered office where you will receive service of process.
- Send to the Public Regulation Commission one executed original and one conformed copy of the Articles of Incorporation. Also send an executed original and a conformed copy of the Statement of Acceptance by Designated Initial Registered Agent.
- Include a minimum $100 fee for the Articles of Incorporation. To determine if your corporation owes more, use the following rate: $1 for each 1,000 authorized shares (with a maximum fee of $1,000). Also send a $25 fee for filing a Profit First Report, which is due within 30 days of qualification.
Foreign Corporations
- The filing fee for reserving a name for your corporation is $25. The name must meet the same standards of a domestic corporation (see above). If the name is already taken in New Mexico, you may still qualify by filing one of two documents: a resolution from your board adopting a fictitious name for use in New Mexico, or written consent to use the name from the company that currently holds that name.
- Designate a registered agent and a registered office where you will receive service of process.
- Send to the Public Regulation Commission a certificate of good standing and compliance from the state in which your company is incorporated. Also send one executed original and one conformed copy of the Application for Certificate of Authority. Finally, submit an executed original and a conformed copy of the Statement of Acceptance by Designated Initial Registered Agent.
- Include a minimum $200 fee to cover the costs of the Application for Certificate of Authority. To determine if your corporation owes more, use the following rate: $1 for each 1,000 authorized shares represented in New Mexico (with a maximum fee of $1,000). Also send a $25 fee for filing a Profit First Report, which is due within 30 days of qualification.
LIMITED LIABILITY COMPANIES
Limited liability companies are similar to corporations in that their owners enjoy limited liability. But LLCs share features of a partnership in that they bypass the formalities of a corporation, such as preparing annual reports or maintaining board minutes. Below are steps for creating a domestic LLC or registering a foreign LLC for business in New Mexico.
Domestic LLCs
- The filing fee for reserving a name for your business is $20. The name must include the words “limited liability company” or “limited company,” or the following abbreviations: “L.L.C.,” “LLC,” “L.C.,” or “LC.”
- Designate an office where your official business records will be kept. This location does not need to be the place of business.
- Designate a registered agent and a registered office where you will receive service of process.
- Send to the Public Regulation Commission one executed original and one conformed copy of the Articles of Organization. Also send an executed original and a conformed copy of the Statement of Acceptance by Designated Initial Registered Agent.
- Include $50 to cover the filing costs of the Articles. Make the check payable to the New Mexico Public Regulation Commission.
Foreign LLCs
- Like domestic LLCs, the filing fee for reserving a name for your business is $20. The same name restrictions apply for both domestic and foreign LLCs (see above).
- Designate a registered agent and a registered office where you will receive service of process.
- Send to the Public Regulation Commission a certificate of good standing and compliance from the state in which your company is organized. Also send one executed original and one conformed copy of the Application for Registration of a Foreign Limited Liability Company. Finally, submit an executed original and a conformed copy of the Statement of Acceptance by Designated Initial Registered Agent.
- Send a $100 fee to file the Application for Registration. Make the check payable to the New Mexico Public Regulation Commission.
