Forming a Domestic Limited Liability Company in North Dakota
When you form a new limited liability corporation in North Dakota, you will need to file an originally executed copy of the Articles of Organization with the Secretary of State. The filing fee is $125.00. You must appoint a registered agent and registered office.
Names of a newly formed Limited Liability Corporation cannot be the same or similar to any corporations that exists in North Dakota. The name must contain “limited liability company”, “L.L.C.” or “LLC”. You can reserve the name for up o 12 months for a $ 10.00 fee
Forming a Foreign Limited Liability Company in North Dakota
You must assign a registered agent and registered office if your company would like to do business in North Dakota but is incorporated in another state. You must file one copy of the Application for Certificate of Authority a well as a Certificate of Existence issued by the Secretary of State where the entity was organized. The fees include the $125.00 filing fee along with a $ 10.00 filing fee for the Registered Agent’s consent to serve. There is a $ 10.00 fee to reserve the name for a 12 month period. Forming a Domestic Corporation in North Dakota
Every corporation must name a registered agent and registered office in the state to represent its business. The name must contain one of the following words: “corporation”, “incorporated”, “limited”, “company” or any abbreviation of these words. There is a $10.00 fee to reserve the name for a 12 month period. One executed original of Articles of Incorporation and the Statement of Consent to Serve as a Registered Agent (official form) must be filed with the Secretary of State. There is a $ 30.00 filing fee, a $50.00 minimum licensing fee which is based upon aggregate par value of all authorized shares and a $10.00 filing fee for Statement of Consent to Serve as a Registered Agent.
Forming a Foreign Corporation in North Dakota
Forming a foreign corporation in North Dakota is very similar to a domestic corporation. There is the same name requirement as well the reservation of name procedure that applies to domestic corporations. One executed original of the Application for Certificate plus a Certificate of Good Standing/Existence from the jurisdiction where the entity was formed. The filing fee is $40.00 and an $85.00 Initial License Fee.
